Terms of Service

These Terms of Service constitute a legally binding agreement between you (“User”) and Base Ledger IP Capital, LLC d/b/a BidSitrep (“BidSitrep,” “we,” or “us”). By creating an account, completing onboarding, or subscribing to BidSitrep, you acknowledge that you have read, understood, and agree to be bound by these Terms.

BidSitrep is not a law firm, licensed contracting consultant, government official, or certified SDVOSB/VOSB certifying authority. Nothing in these Terms or any BidSitrep communication constitutes legal advice, contracting advice, bid-preparation assistance, or a guarantee of any federal contract award. BidSitrep is an information and translation service only.

Section 1. Definitions

"BidSitrep" means Base Ledger IP Capital, LLC d/b/a BidSitrep, and its authorized representatives, successors, and permitted assigns.

"User" means the individual or business entity that has created an account and subscribed to BidSitrep.

"Services" means BidSitrep's web-based platform that identifies federal contract set-aside opportunities from SAM.gov data matching the User's business profile and translates those opportunities into plain-English summaries, as further described in Section 3.

"Subscription" means User's paid or trial access to the Services at the price and terms described in Section 4.

"Trial Period" means the fourteen (14) day period beginning on the date User initiates a Subscription, during which access to the Services is provided at no charge.

"Monthly Fee" means the recurring monthly charge for a paid Subscription, currently $29.00 per month, subject to change as described in Section 8.3.

"SAM.gov" means the System for Award Management, the official U.S. government database of federal procurement opportunities operated by the General Services Administration.

"Opportunity" means a federal contract solicitation, Sources Sought notice, or related procurement notice identified from SAM.gov data and presented to User through the Services.

"SDVOSB" means Service-Disabled Veteran-Owned Small Business, a designation used in federal procurement set-aside programs administered by the U.S. Department of Veterans Affairs and the U.S. Small Business Administration.

"VOSB" means Veteran-Owned Small Business, a designation used in federal procurement set-aside programs administered by the U.S. Department of Veterans Affairs.

Section 2. Eligibility and Account Requirements

2.1 Eligibility

BidSitrep is intended for use by veterans and veteran-owned business owners who are pursuing or considering federal contract opportunities under SDVOSB or VOSB set-aside programs. By creating an account, you represent that: (a) you are at least eighteen (18) years of age and have legal capacity to enter into a binding contract; (b) the business information you provide during onboarding accurately represents your business to the best of your knowledge; and (c) your acceptance and use of the Services does not violate any applicable law or regulation.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify BidSitrep promptly of any unauthorized use of your account. BidSitrep is not liable for any loss or damage resulting from unauthorized access to your account due to your failure to maintain credential security.

2.3 Certification Status

BidSitrep relies on the SDVOSB or VOSB certification status you self-report during onboarding. BidSitrep does not verify, confirm, or certify your SDVOSB or VOSB eligibility. Responsibility for obtaining and maintaining valid certification rests entirely with you and your certifying authority — the U.S. Department of Veterans Affairs or the U.S. Small Business Administration, as applicable. Inaccurate certification information in your profile will affect the accuracy of opportunity matching but does not constitute an error or liability on BidSitrep's part.

Section 3. Description of Services

3.1 What BidSitrep Does

BidSitrep retrieves federal contract opportunity data from SAM.gov, matches opportunities to your business profile based on your reported trade(s), location, and certification status, and presents those opportunities with plain-English summaries written for business owners who are new to federal contracting. BidSitrep also sends daily email digest notifications when new matched opportunities are identified, and provides educational guide content to help you understand federal procurement basics.

3.2 What BidSitrep Does Not Do

BidSitrep's services are strictly limited to information retrieval, profile matching, and plain-English translation. BidSitrep does not:

  • (a)guarantee that any Opportunity it identifies is accurate, current, or still open at the time you view it;
  • (b)verify your eligibility to bid on any specific contract;
  • (c)prepare, review, or submit any bid, proposal, or response to any government solicitation on your behalf;
  • (d)provide legal advice, contracting advice, or certified professional guidance of any kind;
  • (e)assist with or advise on SDVOSB or VOSB certification applications;
  • (f)represent you in any capacity before any government agency, contracting officer, or procurement authority;
  • (g)guarantee any contract award or outcome from any procurement process; or
  • (h)act as a government contractor, subcontractor, teaming partner, or procurement agent.

3.3 SAM.gov as Authoritative Source

All Opportunity data presented through BidSitrep is sourced from SAM.gov, a third-party government database operated by the General Services Administration. BidSitrep does not control, and is not responsible for, the accuracy, completeness, timeliness, or continued availability of SAM.gov data. Opportunity details — including deadlines, award amounts, scope of work, eligibility requirements, and attached solicitation documents — must always be verified directly on SAM.gov before taking any action.

3.4 AI-Generated Summaries

BidSitrep uses artificial intelligence to translate federal contract opportunity descriptions into plain-English summaries and analysis. These summaries are generated automatically based on available SAM.gov data and may contain errors, omissions, or imprecisions. They are provided for informational orientation only and do not constitute the official solicitation. Do not rely solely on BidSitrep's summaries when deciding whether or how to respond to any Opportunity.

Section 4. Subscription, Fees, and Billing

4.1 Subscription and Pricing

Access to BidSitrep requires an active Subscription. The current Monthly Fee is $29.00 per month. The Monthly Fee is subject to change with sixty (60) days' prior written notice as described in Section 8.3.

4.2 Free Trial

New Users are eligible for one (1) fourteen (14) day Trial Period at no charge. A valid payment method is required to begin a Trial Period, but you will not be charged during the Trial Period. At the end of the Trial Period, your Subscription will automatically convert to a paid Subscription and your payment method will be charged the Monthly Fee, unless you cancel before the Trial Period ends.

4.3 Billing and Automatic Renewal

Paid Subscriptions are billed monthly in advance. By activating a paid Subscription, you authorize BidSitrep to charge your designated payment method the Monthly Fee at the beginning of each monthly billing cycle. Subscriptions renew automatically unless cancelled before the next renewal date as described in Section 4.4.

4.4 Cancellation

You may cancel your Subscription at any time through your Account page. Cancellation takes effect at the end of the current billing period. You will retain access to the Services through the end of the period for which you have already paid. BidSitrep does not provide refunds for partial billing periods except where required by applicable law.

4.5 Failed Payments

If a payment fails, BidSitrep will notify you and your access to the Services will be suspended until payment is resolved. BidSitrep is not liable for any missed contract opportunities or other consequences resulting from a payment failure and resulting suspension.

4.6 Payment Processing

Payments are processed by Stripe, Inc., an independent third-party payment processor. BidSitrep does not store your payment card information. By providing payment information, you also agree to Stripe's Terms of Service and Privacy Policy. BidSitrep is not responsible for errors, charges, or delays attributable to Stripe.

Section 5. No Legal, Contracting, or Certification Advice

5.1 Not a Law Firm; No Legal Advice

BidSitrep is not a law firm and does not provide legal advice, legal representation, or legal opinions. No attorney-client relationship is created by your use of BidSitrep. You are strongly encouraged to consult qualified legal counsel, a licensed government contracts attorney, or a free Procurement Technical Assistance Center (PTAC) advisor before responding to any federal solicitation.

5.2 Not a Contracting Consultant

BidSitrep does not hold itself out as a federal contracting consultant, proposal writer, or professional acquisition advisor. The guide content and opportunity summaries provided through BidSitrep are educational and informational only.

5.3 Not a Certification Authority

BidSitrep has no affiliation with, and no authority to confirm, certify, or represent the status of, any SDVOSB or VOSB certification. SDVOSB and VOSB certification is administered exclusively by the U.S. Department of Veterans Affairs and the U.S. Small Business Administration. BidSitrep's reference to these designations is for informational matching purposes only.

Section 6. Intellectual Property

6.1 BidSitrep Intellectual Property

BidSitrep's platform, including its matching algorithms, AI prompt methodology, software, source code, user interface, and all associated proprietary information (collectively, “BidSitrep IP”) are and shall remain the exclusive intellectual property of Base Ledger IP Capital, LLC d/b/a BidSitrep.

6.2 Limited License to User

BidSitrep grants User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for User's own business purposes during an active Subscription or Trial Period. This license does not permit User to: reproduce or redistribute BidSitrep content; use BidSitrep as the basis for a competing service; scrape or systematically extract data from the platform; or reverse-engineer BidSitrep's matching or summarization methodology.

6.3 User Data

Your business profile information remains your property. BidSitrep's license to use your data is strictly limited to providing the Services described in Section 3. BidSitrep will not sell or share your individual business profile or contact information with third parties without your consent. BidSitrep may use aggregate, anonymized, non-User-identifiable data for service improvement and research purposes.

Section 7. Modifications to Services and Terms

7.1 Service Modifications

BidSitrep reserves the right to update, modify, or enhance the platform, matching logic, or AI summarization at any time. BidSitrep will provide thirty (30) days' prior written notice of any modification that materially reduces the quality or scope of the Services.

7.2 Modifications to These Terms

BidSitrep may modify these Terms at any time by providing thirty (30) days' written notice via email to the address on file. Continued use of the Services after the notice period constitutes acceptance of the modified Terms. If you object to a material modification, you may cancel your Subscription without penalty before the modification takes effect.

7.3 Fee Changes

BidSitrep will provide sixty (60) days' written notice of any changes to the Monthly Fee. Fee changes apply only to billing cycles beginning after the notice period expires and do not apply retroactively.

Section 8. Disclaimers and Limitation of Liability

8.1 No Guarantee of Contract Awards

BidSitrep does not guarantee that any Opportunity it identifies will result in a contract award, that you will be eligible for any specific Opportunity, or that responding to any Opportunity will benefit your business. Federal contracting outcomes depend on factors entirely outside BidSitrep's control.

8.2 No Professional Advice

Nothing in these Terms, any BidSitrep communication, any Opportunity summary, or any guide content constitutes legal, financial, tax, or contracting advice. All decisions regarding whether and how to pursue any federal contract opportunity are solely your responsibility.

8.3 Services Provided "As Is"

Except as expressly set forth in these Terms, BidSitrep provides the Services on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, or completeness.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDSITREP'S TOTAL CUMULATIVE LIABILITY TO USER FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL MONTHLY FEES ACTUALLY PAID BY USER TO BIDSITREP IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. BIDSITREP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF ANTICIPATED CONTRACT AWARDS, LOSS OF BUSINESS, OR LOSS OF DATA — REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF BIDSITREP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.5 Third-Party Services

BidSitrep shall not be liable for any loss, delay, or service interruption attributable to SAM.gov, Stripe, or any other third-party service provider. SAM.gov data is the exclusive property and responsibility of the U.S. General Services Administration.

Section 9. Term and Termination

9.1 Term

These Terms are effective upon account creation and remain in full force until terminated.

9.2 Termination for Convenience

You may cancel your Subscription at any time as described in Section 4.4. BidSitrep may terminate your access to the Services upon thirty (30) days' written notice.

9.3 Termination for Cause

BidSitrep may suspend or immediately terminate your access upon written notice if: (a) you provide materially false or fraudulent information during account creation or onboarding; (b) you use the Services in violation of applicable law; (c) you attempt to reverse-engineer, scrape, or systematically misuse BidSitrep's platform or data; or (d) your payment method is fraudulent or unauthorized.

9.4 Effect of Termination

Upon termination: (a) your access to the Services ends at the conclusion of any paid period for which you have already been charged; (b) BidSitrep will retain your data in accordance with its Privacy Policy; and (c) accrued fee obligations survive termination.

9.5 Survival

Sections 5 (No Legal Advice), 6 (Intellectual Property), 8 (Disclaimers and Limitation of Liability), 10 (Dispute Resolution), and 11 (General Provisions) survive any expiration or termination of these Terms.

Section 10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute proceeding, the Parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either Party may initiate informal resolution by providing written notice specifying the nature and basis of the dispute. The Parties shall have thirty (30) calendar days from the date of such notice to attempt informal resolution.

10.2 Binding Arbitration

If the Parties are unable to resolve the dispute through informal negotiation within thirty (30) days, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator selected by mutual agreement of the Parties, or appointed by the AAA if the Parties cannot agree within fifteen (15) days. The seat and place of arbitration shall be Wilmington, Delaware. The language of arbitration shall be English. The arbitrator shall apply the substantive law of the State of Delaware without regard to conflict of law principles. The arbitrator's award shall be final, binding, and non-appealable except on the limited grounds set forth in the Federal Arbitration Act, and may be entered as a final judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

USER EXPRESSLY AND IRREVOCABLY WAIVES ANY RIGHT TO BRING, PARTICIPATE IN, OR BENEFIT FROM ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST BIDSITREP. ALL DISPUTES MUST BE BROUGHT BY USER IN AN INDIVIDUAL CAPACITY ONLY. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR CONDUCT CLASS ARBITRATION. THIS WAIVER IS A MATERIAL AND NON-SEVERABLE CONDITION OF THESE TERMS.

10.4 Emergency Injunctive Relief

Notwithstanding the foregoing, either Party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Delaware to prevent imminent, irreparable harm pending the outcome of arbitration.

10.5 Governing Law

These Terms shall be governed by and construed exclusively in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Section 11. General Provisions

11.1 Entire Agreement

These Terms constitute the entire agreement between the Parties with respect to the Services and supersede all prior negotiations, representations, and agreements, whether written or oral.

11.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving the Parties' original intent. The remaining provisions shall continue in full force and effect.

11.3 No Waiver

No failure or delay by either Party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof.

11.4 Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder without BidSitrep's prior written consent. Any purported assignment without required consent is void. BidSitrep may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee expressly assumes all obligations hereunder and you receive written notice within thirty (30) days.

11.5 Electronic Signatures

These Terms may be accepted electronically. Electronic acceptance is valid, binding, and enforceable to the same extent as an original ink signature under the E-SIGN Act (15 U.S.C. § 7001 et seq.) and the Delaware Electronic Transactions Act (6 Del. C. § 12A-101 et seq.).

11.6 Notices

All formal notices required under these Terms shall be in writing and delivered by email with confirmation of receipt. BidSitrep's notice address: brooks@baseledgerip.com | Base Ledger IP Capital, LLC d/b/a BidSitrep, Williamsburg, Virginia.

11.7 Attorney Review

BidSitrep strongly encourages you to have these Terms reviewed by independent, qualified legal counsel before use. These Terms contain binding arbitration, a class action waiver, and limitations of liability that significantly affect your legal rights.

Acceptance

By creating an account, completing onboarding, or subscribing to BidSitrep, you represent and warrant that: (i) you have read these Terms of Service in their entirety; (ii) you have had the opportunity to consult with qualified legal counsel; (iii) you fully understand the terms, conditions, obligations, limitations, and legal consequences set forth herein; and (iv) you agree to be bound by these Terms.
